The Partnership Constitution

This is the soul of every partnership ICE Group builds. Every rule, every agreement, every decision — big or small — must pass the test of the sixteen Articles that follow. If any decision goes against this Constitution, the decision is wrong, not the Constitution.

Preamble

We, ICE Group — manufacturer of televisions, commercial displays, and digital signage software, built in Bengaluru since 2013 — set forth this Constitution not as a legal formality, but as the working promise between ICE and every partner who chooses to grow with us. A partnership built only on paperwork does not last, and trust, once broken, is rarely rebuilt. We therefore bind our own conduct to the sixteen Articles that follow, so that every partner, in every city, may know exactly what to expect from ICE — and hold us to it.

Part I · Articles I–VII

How We Treat Our Partners

Trust Before Scale

We will take on fewer partners and treat them well, instead of taking on many partners and treating them poorly.

What this means:ICE will not chase big partner numbers to show growth. One partner who fully trusts ICE will bring more business than ten partners who are half-interested. We build slowly — city by city, person by person.

Pay On Time, Every Time

Every partner will be paid on a fixed, clearly announced date. No delays. No excuses. No follow-up calls needed.

What this means:In India, the number one reason partners leave a company is late payment. A partner should never have to call ICE and ask “where is my money?” If the payout date is the 10th of the month, the money reaches the partner’s bank account on or before the 10th. This is a promise, not a target.

Full Clarity on Earnings

Every partner must be able to calculate their own earning in their head, within seconds, without asking anyone.

What this means:If a partner needs a calculator, a phone call, or an explanation to understand how much they will earn on a sale — our structure is too complicated, and we will simplify it. Simple example: “You earn ₹1,000 or 5% of the price, whichever is higher.” That is the level of simplicity every incentive rule must have.

We Never Steal a Partner's Client

A client brought by a partner belongs to that partner's relationship. ICE will never go around the partner to deal with their client directly for a new sale.

What this means:We ask our partners to sign a non-circumvention promise — that they will not bypass ICE. This Article is our side of the same promise. If a reseller’s client calls ICE directly for a new order, ICE will inform the reseller and include them. Trust must work both ways, otherwise it is not trust.

Respect and Recognition, Not Just Money

Every partner deserves to be seen, named, and celebrated — not just paid.

What this means:Money brings a partner in. Respect keeps them for years. ICE will recognise good partners openly — Preferred Partner badges, priority support, first news of new products, and a genuine thank you. A partner should feel proud to say “I work with ICE.”

No Partner Left Confused

If a partner does not understand something about the program, that is ICE's failure, not the partner's.

What this means:We will not hide important information inside long PDFs or send it once and forget it. Every scheme, every change, every update will be communicated simply, repeatedly, and in a way partners actually see — WhatsApp, phone, portal. And if a partner is still confused, we explain again, patiently, as many times as needed.

Protection of Partner Data

The personal and business details a partner shares with ICE — Aadhaar, PAN, GST, bank details — will be used only for this partnership and nothing else.

What this means:Partners trust us with sensitive documents during onboarding. ICE will store them safely, never sell them, never share them with anyone except when required by law, and delete them when a partner exits and the law allows deletion. A partner’s data is not ICE’s property. It is a responsibility.

How We Treat The End Client

The End Client Must Always Win

No matter which partner sells to them, every end client gets a fair price, an honest recommendation, and full support from ICE.

What this means:A client who buys through a partner gets the exact same product quality, same installation, same warranty, and same service as a client who buys from ICE directly — no difference at all. Partners may set their own selling price, but ICE will step in if any partner cheats or badly overcharges a client — because one cheated client damages the name of every partner and of ICE.

Right Product, Every Time

Before any order is processed, the client's actual requirement must be properly understood and written down. No shortcuts.

What this means:ICE has learnt this lesson the hard way — one wrong product recommendation once broke a good partnership. So this is now a permanent rule: every order needs a filled requirement form. If ICE feels the requested product is wrong for the client’s need, ICE will say so honestly, even if it means a smaller sale. The right product builds ten future sales. The wrong product destroys them.

How The Program Stays Healthy

Fair Rules, Honestly Enforced

Breaking the spirit of this partnership has consequences — clear, fair, and the same for everyone.

What this means:If a partner knowingly misleads a client, misuses ICE’s name, sells wrong products for quick money, or tries to bypass ICE with its clients — ICE will first talk, then warn in writing, and if it continues, end the partnership. No favouritism, no exceptions. Good partners deserve to know that bad behaviour is not quietly tolerated.

A Clear Path for Complaints — Right Up to the CEO

Every partner has the right to raise a complaint against ICE — including against ICE’s own team — and get a response within a fixed time.

What this means:If a partner feels ICE broke a promise — payment delayed, client approached directly, discount changed without notice — they can raise it through one clear channel: the portal or their Partner Relationship Manager. ICE will respond within 7 working days, in writing. If the partner is not satisfied, the complaint escalates upward, one level at a time, all the way to the CEO if needed. There is always a next level to go to.

Respectful Exit, Always

Any partner can leave, and ICE can also end a partnership — but both will happen respectfully, with notice, and with all dues cleared.

What this means:How a partnership ends decides ICE’s reputation in the market. Every exiting partner gets their pending payments fully settled, their data handled as per Article VII, and a courteous goodbye. No blocked payments, no silent treatment, no burnt bridges. Today’s exiting partner may be next year’s returning partner.

Partner Health Will Be Checked, Not Assumed

ICE will regularly check whether each partner is active, earning, and happy — and act on what it finds.

What this means:Is the partner referring or selling regularly? Are their payments reaching on time? Have they raised complaints? Every quarter, ICE will review this for every partner. A silent partner is not a happy partner — silence usually means they have moved on. We will notice before it is too late.

Every Partner Gets a Named Partner Relationship Manager

Every partner will be assigned a Partner Relationship Manager at ICE — one named person, accountable for their experience.

What this means:A program that is everyone’s responsibility becomes no one’s responsibility. The Partner Relationship Manager is accountable for that partner’s payouts happening on time, their complaints being answered, and this Constitution being followed. Every quarter, the Partner Relationship Manager team reviews the full program and makes changes where needed.

Changes With Notice, Never Overnight

ICE can improve and change the program — but every change that affects a partner’s earnings will come with advance written notice.

What this means:Incentive rates, discount percentages, and payout rules may need to change as the business grows. That is fair. What is not fair is changing them suddenly and informing partners later. Any change affecting partner earnings will be announced at least 15 days in advance, in writing, with the reason explained honestly.

This Constitution Is Alive

This document will be reviewed every quarter and improved whenever needed — but its spirit will never be diluted.

What this means:Markets change, products change, rules change. This Constitution will grow with the business — new Articles may be added, wordings may improve. But no change will ever be made that weakens a partner’s trust, delays their money, or hides information from them. The words may evolve. The soul stays the same.
